ARTICLE I Section 1: The organization shall be known a District 4-C1 of the California Nevada Lions International, which shall hereafter be referred to as the "District."
ARTICLE II Section 1: The purpose of this organization is the advancement and betterment of the District and to spread the principles of Lionism throughout the District in full conformity with the rules and regulations prescribed by Lions International and the Multiple District Four. This association shall not, except to an insubstantial degree, engage in any activities or exercise any powers which are not in furtherance of the primary purpose of this Association. Section 2: The property of this Association is irrevocably dedicated to charitable purposes and no part of the net income or assets of this Association shall ever inure to the benefit of any director, officer or member thereof or to benefit of any private person. Upon the dissolution or winding up of the Association, its assets remaining after payment, or provision of payment, of all debts and liabilities of this corporation shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable purposes and which has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code.
ARTICLE III Section 1: All clubs in good standing within the District shall have membership in this organization and shall hold same subject to the Constitution and Bylaws of Lions International and of Multiple District Four. Section 2: All clubs shall hold regular meetings no less then twice each month. Section 3: Wherever the male gender or pronoun presently appears in the District Constitution and Bylaws, it shall be interpreted to mean both male and female persons.
ARTICLE IV Section 1: The territory embraced by District 4-C1 of California-Nevada Lions International, shall be as follows: All Lions Clubs now existing and to hereafter exist in the counties of Butte, Colusa, Glenn, Lassen, Modoc, Plumas, Shasta, Siskiyou, Sutter, Tehama, Trinity and Yuba, except the clubs along the borders of this District may, in accordance with the provisions of the Constitution and Bylaws of Multiple District Four, apply for association with a neighboring District.
ARTICLE V Section 1: There shall be a District Governor, and a Vice Governor, who shall be elected at the annual District Convention by secret ballot. Each must be a member of a chartered club in good standing in the District, and each must be qualified in accordance with requirements of Article I, Section 2, of the Bylaws of the District. Each shall serve for a term of office prescribed by the Constitution of Lions International. Section 2: In the event of the death of a District Governor or his inability or failure to perform the duties of that office for a period of sixty (60) days, the Immediate Past District Governor shall declare the office vacant.
Section 3: There shall be a Cabinet Secretary who shall be appointed by the District Governor prior to his taking office. Section 4: There shall be a Cabinet Treasurer, and such Assistant Treasurer as shall be needed, who shall be appointed by the District Governor prior to his taking office. Section 5: There shall be a Region Chairman for each Region and a Zone Chairman for each Zone appointed by the District Governor prior to his taking office. Each Region and Zone Chairman shall: (a) be an active member in good standing in his region or zone, and (b) have served or will have served at the time of taking office as Region or Zone Chairman, as president of a Lions Club for a full term or major portion thereof, and a member of the Board of directors of a Lions Club for no less then two (2) additional years. Their acts shall be subject to the order of the District Governor and shall be advisory only. Section 6:
Section 7: The Region Chairman shall hold at least two Region meetings during the year and shall visit each Club in their respective Regions at least once during the year in addition to attendance at the official Club Visitations of the District Governor. They shall be prepared to install officers of a club and induct new members into a club when called upon by the president of a club. The Region Chairman of each Region shall be responsible for a Regional Student Speaker Contest. Section 8: The Zone Chairman shall hold four (4) meetings of the District Governors Advisory Committee annually. It shall be the purpose of these meetings to exchange views and discuss the common problems of the clubs in the Zone and to instruct members of the ways and means of better functioning as a Lions Club. The Zone Chairman shall visit each club in their respective Zone at least twice during the year to assist the officers of the Clubs in any manner possible. The Zone Chairman for the Zone shall be responsible for the Student Speaker Contest in his Zone. Section 9: Cabinet officers and members shall, in addition to the forgoing requirements, perform such duties and functions for their respective positions as set forth in Lions Clubs International By-Laws.
ARTICLE VI Section 1: The District Governor shall hold an annual convention in the spring of each year, which shall conclude no less then thirty (30) days prior to the International Convention. Provided, from and after June, 1983, the District shall elect a District Governor as provided in Lions International By-laws at least thirty (30) days prior to the convening date of the International Convention. Such Convention is to be held at a place designated and approved by the delegates at the Convention (at least) three years prior to the Convention date. The Convention Committee shall consist of the incumbent District Governor, the Chairman of the Convention Housing and Registration Committee, and the three most immediate Past District Governors. The Past District Governor who has served the longest on the Convention Committee shall serve as Chairman. Each Past District Governor will have certain areas of responsibility.
Section 2: Should no place be designated or qualify for the holding of such convention or in case of an emergency, the District Governor shall have the power to act for the District in selecting the place and date for the holding of such Convention. Section 3: Each chartered club in good standing in the District shall submit to the Chairman of the Credentials Committee a list of its accredited delegates and alternates to each District Convention. Such delegates and alternates must be members in good standing of the club
accrediting them. Such accredited delegates and alternates shall be issued
credentials by the Credentials Committee, and only such accredited delegates or
alternates shall be entitled to vote on any matter coming before said
Convention. Failure on the part of a club to submit said list of accredited
delegates or alternates shall preclude these delegates and alternate Each Past District Governor who is a member in good standing in a club in District 4-C1 shall have a vote at District 4-C1 Conventions. Such votes will not be counted against the allocated votes for the club to which the PDG belongs. The current incumbent Vice District Governor is granted a vote at District 4-C1 Conventions. Such vote will not be counted against the allocated votes for the club to which the VDG belongs. Section 4: A voice vote or a showing of hands, or a standing vote may be taken on any matter at any Convention, except as provided in the District Constitution, Article V, section 1, and the ruling of such showing by the Presiding Officer shall be deemed conclusive unless said ruling is challenged, in which event the Presiding Officer shall cause a standing vote to be taken and only those accredited delegates or alternates present and holding proper credentials shall participate in said voting. A majority vote of the attending and accredited delegates or alternates shall be sufficient to pass and approve any matter coming before the Annual Convention, except that in amending the Constitution and Bylaws, when a two-thirds vote of attending and accredited delegates or alternates is required. Section 5: At all District Convention business meetings, a quorum shall be deemed present for the transaction of business when twenty-five per cent (25%) of the Clubs in the District are represented by delegates or alternates. Section 6: The Convention Committee shall appoint one delegate from each Region, together with one committeeman from the Convention Committee who shall serve as Chief Sergeant-at-Arms, to act as Sergeant-of Arms at said Convention. It shall be the duty of the Sergeants-of Arms to assist the Presiding Officer at all meetings of the Convention, to maintain order and decorum at said meeting and to perform such other additional duties as may be assigned to them by the Convention Committee or the District Governor in relation to the business of the Convention. Section 7: Bids for the annual convention shall be submitted to the District Governors Cabinet on or before the third Cabinet meeting of the year in which the proposed bid is to be made at the Convention. Such bid is to include the nature of facilities, approximate costs of housing, meals and other details necessary to assist the Cabinet and the delegates in making a choice of site for the next convention. The delegates at the Convention shall have the right to reject any or all bids by vote of said delegates according to the rules of ordinary parliamentary procedure, in which case the District Governor shall have the power to act for the District as indicated in Section 2 of this Article. This rule shall also apply in the event no bids have been received at the third Cabinet meeting. Section 8: With the exception of resolutions of appreciation, no resolution shall be considered at the District Convention unless a copy of same is delivered to the Resolutions Committee not later then 30 days prior to the Convention. A resolution to be considered must have a club endorsement or be signed by 25 members of the District. All such resolutions shall have a reading at the first business session of the Convention, and shall be voted upon at the second business session of the Convention. Section 9: At District 4-C1 Conventions, delegates and alternate delegates must be certified, and all persons, whether delegates, alternate delegates or others may be permitted to attended or participate in any session or proceeding, only after registering and paying such registration fees as may be fixed by the Convention Committee. Section 10: All funds of the annual District Convention shall be under the general supervision of the Committee Treasurer, who shall be designated Assistant Cabinet Treasurer. All disbursements of such funds shall be by check and shall require the signature from two of the following persons: the Convention Chairman, the Convention Committee Treasurer, the District Governor, or the Cabinet Treasurer.
ARTICLE VII Section 1: There shall be Regions consisting of two or more Zones. The District Governor shall have the authority to create such Regions as at his discretion are for the best interests of his District and Multiple District Four of Lions International. Section 2: There shall be maintained, in each Region, Zones made up of no more then eight (8) clubs whose territory is contiguous. Exception may be made if, in the opinion of the District Governor and with the consent of the clubs involved, some unusual condition makes it desirable to deviate there from. Section 3: The District Governor's Advisory Committee shall be composed of the presidents and secretaries of the clubs within the Zone and shall meet four (4) times annually at the call of the Zone Chairman, District Constitution (Article V, Section 8.) Section 4: A borderline club may change from one Region or Zone to another in the following manner:
ARTICLE VIII Section 1: There shall be a Budget and Finance Committee consisting of the Immediate Past District Governor, the Cabinet Treasurer, and one Lion in good standing from each Region, appointed by the retiring District Governor and his Cabinet, only one of whom may be a Past District Governor. No appointee to this position shall serve more then four (4) consecutive years, providing for one retiring and one appointment each year so long as there are four Regions in the District. The Committee shall elect from within their own number a Chairman, who has had at least two (2) years of experience on the Committee. Section 2: The Budget and Finance Committee shall prepare a proposed
administrative budget to include all estimated administrative income from all
sources and all estimated administrative expenditures of the District for the
ensuing year. The first draft of such budget shall be presented at the last
Cabinet meeting before the Convention. It shall be approved by the Cabinet prior
to consideration and adoption by delegates assembled at the Convention. Section 3: It further shall be the duty of the Budget and Finance Committee to review the receipts and disbursements of the Annual District Convention and all other District activities. A complete accounting of all District receipts and disbursements shall be mailed to each club in the District with a copy to Lions International and the MD-4 office immediately following the close of the administrative year, the same having been audited by qualified persons who are not members of the Budget and Finance Committee.
Section 4: A majority of this Committee shall constitute a quorum for the transaction of business. Section 5: The annual per-capita dues for District 4-C1 shall be collected by the Multiple District Four (MD4) in the amount set forth in the administrative budget. This sum is additional to the per-capita tax collected by MD-4 for the Multiple District. The total of both per capital dues and taxes shall be payable to MD-4 semi-annually on August 1st by each club, based on the club membership as of June 30th of the same year; and on February 1st, based on the club membership as of December 31st of the previous year. The MD-4 secretary shall be notified in writing not later then August 1st of the year of any changes made in the amount of District 4-C1 per-capita dues. Section 6: Neither the District Governor, the Vice District Governor, the Budget and Finance Committee, nor any other person shall have the right or authority to create or incur any financial obligations for the District in excess of the total amount of the administrative budget, approved and adopted by the delegates of the Convention. Section 7: All undesignated income accruing to District 4-C1 from any source other then budgeted administrative income shall be entered as a separate bookkeeping entry and shall be expended only upon approval of the Governor and his Cabinet. Section 8: The Cabinet Treasurer or Assistant Treasurers shall receive and deposit all District monies and disburse the same according to specific budgets set up for administrative and convention expenses, and other authorized activities expenses. Disbursing signatures for administrative funds, and for such other funds as shall be designated by the Budget and Financial Committee, shall include that of the District Governor. In the event of the inability of the Cabinet Treasurer or the District Governor to co-sign checks or warrants, the Vice District Governor, the Cabinet Secretary may co-sign in the place of either. The District Governor, Vice District Governor, Cabinet Treasurer, and the Cabinet Secretary shall each be bonded in the sum of not less then $10,000. All District accounts shall require two authorized signatures for disbursements. This does not require two authorizing signatures for transfer from the District savings account to the District checking account. Section 9: There shall be an explanation of the budget at the District Governor's first Cabinet session. Section 10: The Budget and Finance Chairman shall hold at least three (3) meetings of the committee during the year, two of these meetings to proceed the last Cabinet meeting before the Convention, for the purpose of reviewing the old budget and the preparation of the new budget for the ensuing year. Section 11: Clubs participating in any District-sponsored activity or project shall report all participation (funds, hours) through the District Chairman of such committee or project. Section 12: There shall be a District reserve which shall be determined annually by the Budget and Finance Committee.
ARTICLE IX Section 1: Except as provided hereinafter, The District Governor shall appoint a committee chairman for the following Standing Committees, said chairman to serve during the term of office of said District Governor. Committee Chairmen shall select their committees with all the committee members to be approved by the District Governor; provided, however that the members and chairman of the Budget and Finance Committee shall be appointed and elected as set forth in the District Constitution Article VII, Section 1, with the current District Governor appointing replacements for any vacancies that may occur in the membership of that committee during his/her term; and the Convention and Convention Housing and Registration Committees as set for in the District Constitution Article VI, Section 1, with the current District Governor appointing replacements for any vacancies occurring.
Section 2: No Lion should serve as chairman of any Standing Committee for more than two consecutive years. Section 3: All Standing Committees shall submit a written report at the District Convention. Section 4: The District Governor may set up Special Committees and appointments for his term of office. Such committees/appointments may be incorporated into Standing Committees, as appropriate in Section 1, above, or may include:

Section 6: The District Governor shall appoint a Diabetes Awareness Chairman from the Board of Directors of the Lions Health Foundation. Section 7: The Vice District governor shall serve as a non-voting member of the Board of Directors of the Lions 4-C1 Humanitarian Foundation. Section 8: The District Governor may appoint a District Governor's Honorary Committee, the chief function of which shall be to maintain harmony in the District, and in this connection, the members of this committee are known as "Ambassadors of Good Will." The official actions of the committee or any member of it shall be under the supervision of the District Governor. The District Governor may call upon this committee for its advice, or to handle situations which may arise and which can be disposed of more diplomatically by those who have served, than by those who either hold office or may be in line for some office. Section 9: No committee in this District shall receive any compensation for services rendered other than the District may reimburse the committees for expenses incurred in the discharge of their duties which demand extensive travel and communication, so long as such monies have been provided in the budget. Section 10: Any vacancy occurring during the fiscal year may be filled by the current District Governor. Section 11: Any committee that received and disburses District monies shall do so through a designated Assistant Treasurer appointed by the District Governor for that purpose.
ARTICLE X Section 1: Any article or section being inconsistent or in conflict with the Constitution and Bylaws of Lions International or of Multiple District Four shall be ineffectual and shall be deemed to have been an act of omission, rather then an act of commission. Such inconsistency or conflict shall not invalidate this Constitution. In such event the Constitution of Lions International or the Constitution of Multiple District four, which ever is applicable, shall be the governing section. Section 2: It is the intent that points of government not specifically provided for in this Constitution shall be controlled under the provisions of the Constitution of Lions International, or the Constitution of Multiple District Four, which ever is applicable. Section 3: Any organized group using the name and/or insignia of Lions, Lions International, or of District 4-C1 within the boundaries of the District shall:
Wherever and whenever possible, the finances of such groups should be handled through the District Treasurer.
ARTICLE XI Section 1: This Constitution may be amended at any District Convention by a
two-thirds affirmative vote of the delegates or alternates present and voting.
Any proposed amendment to be placed upon the floor of the Convention must be
sponsored either by (1) Cabinet Resolution, (2) Resolution approved by three
clubs, or (3) Resolution proposed by twenty-five members of the District with
members representing at least three clubs. Said proposed amendment must be
presented to the District Governors Cabinet on or before the third Cabinet
meeting of the year in which the proposed amendment is to be made at the
Convention, and a copy of the proposed amendment must be sent to each club in
the District thirty (30) days prior to the Convention. ARTICLE XII Section 1: This Constitution has been prepared by the Constitution and Bylaws Committee of District 4-C1 appointed by the District Governor and ratified by the delegates assembled at the District Convention on May 3, 1969 at Hoberg's resort. |
